I'll be generous and assume that you spent a nominal 6 months working on HSM to the exclusion of all else and that a nominal salary for that time would be about $100K/year. How about a royalty deal amounting to $150K sound to you? Acorn owns the product. Acorn does all the marketing, packaging, integration, etc. Acorn provides first line support. Acorn collects all the cash, etc. You get 10% off the top of all HSM sales until $150K is reached. Payment is done PER MONTH when we receive checks. If we have to refund money, we credit your payment as a draw against future royalties. You don't have to refund anything you receive. You provide second tier support (if we can't figure out whats going on, then we can call you). You fix bugs we can't fix (primarily driver problems). Your royality applies through "version 2" of the product, i.e., if Acorn brings out a genuine version 2 with substantial feature enhancement, or whatever, that is deemed to be a different product. The definition of V2 is subject to negotiation/arbitration. Unless, of course, you want to DO V2 for us, in which case that becomes a seperate deal with it's own royality arrangement and we discuss the relationship between V1 royalities, V2 royalities, etc. Basically this is the nature of any and all further deals between Acorn any of its technology suppliers.
